GawainAI Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GawainAI service (the "Service") provided by Nogeass Inc. ("Company," "we," "us," or "our"). By using the Service, you agree to these Terms and our related policies (including our Privacy Policy and any guidelines).

1. Scope

  1. These Terms define the rights and obligations between Company and each user ("User" or "you").
  2. You must comply with these Terms and any additional policies, guidelines, or notices we provide.
  3. If there is a conflict between these Terms and other policies, these Terms prevail unless expressly stated otherwise.

2. Definitions

  1. "Input Data" means any images, text, product information, URLs, metadata, or other data you upload or submit to the Service.
  2. "Outputs" means any videos, images, audio, scripts, captions, subtitles, or metadata generated by the Service.
  3. "User Content" collectively means Input Data and Outputs.
  4. "Public" means accessible to third parties (including via a public page, gallery, share URL, or search engines).
  5. "Platforms" means third-party services such as e-commerce marketplaces, social networks, app stores, ad networks, or other distribution channels.

3. Service Description

  1. The Service generates Outputs using AI and related technologies based on Input Data and may provide viewing, hosting, sharing, downloading, or related functions.
  2. We may modify, add, suspend, or discontinue any part of the Service at any time.

4. Accounts

  1. You may be required to create an account (including via third-party authentication) to use certain features.
  2. You are responsible for maintaining the confidentiality and security of your account and credentials.
  3. We may restrict or suspend access if we reasonably suspect unauthorized use or security risks.

5. Plans and Fees

  1. The Service may offer a free plan and paid plans (e.g., "Premium"), with different features and usage rights. Details are shown on our site or within the Service.
  2. Free Plan: Intended for personal use only. Commercial use is prohibited. Outputs may be Public by default and may include a logo/watermark.
  3. Paid Plans: Commercial use may be permitted and may include non-public generation, removal of logos/watermarks, higher-quality downloads, or other features.
  4. Fees, billing cycles, payment methods, renewals, and cancellations follow our displayed terms and any payment processor terms.
  5. Unless required by applicable law, payments are non-refundable for user convenience cancellations.

6. Ownership

  1. You retain ownership of your Input Data (or it remains with the rightful owner).
  2. As between you and Company, you own the copyright (if any) in the Outputs by default.
  3. We do not guarantee that Outputs are free of third-party rights or that ownership/usage is risk-free in every context.
  4. We (and/or our licensors) retain all rights in the Service, including software, models, systems, UI, logos, trademarks, and know-how.

7. License Granted to Company

You grant Company a worldwide, non-exclusive, royalty-free license (with the right to sublicense to our vendors/contractors) to use User Content as reasonably necessary to operate, secure, and improve the Service:

  1. Service Operation License: Hosting, processing, transcoding, compressing, distributing, displaying, backing up, customer support, security and abuse prevention.
  2. Public Display (where applicable): For plans or features where "Public" is the default (including the Free Plan), we may make Outputs Public.
  3. Model Improvement / Learning: As described in our Privacy Policy, we may use User Content to evaluate, improve, and/or train our models and Service.

    For paid plans intended for commercial use, we aim to provide an opt-out mechanism for training use (e.g., a setting or request process). The method and availability are described separately in the Service.

  4. The foregoing licenses are worldwide, non-exclusive, sublicensable (to our contractors and vendors), and effective for as long as reasonably necessary to operate the Service.

8. Public, Deletion, and Retention

  1. Outputs may be made Public depending on your plan and settings.
  2. For Public Outputs generated under the Free Plan, deletion at your request is generally not available (as a service specification).
  3. Notwithstanding the foregoing, we may remove or disable access to User Content when required or reasonably necessary, including for legal compliance, governmental requests, third-party rights, privacy or safety concerns, suspected policy violations, or prevention of material harm.
  4. For paid plans with non-public features, you may request deletion or unpublishing through our designated method. Some data may remain temporarily in backups/logs for technical or legal reasons.

9. Prohibited Conduct

You must not:

  1. Violate laws or public order and morals.
  2. Generate or distribute content involving sexual exploitation (including CSAM), extreme violence, hate/discrimination, threats, or self-harm encouragement.
  3. Infringe third-party intellectual property, privacy, publicity, or other rights.
  4. Defame, harass, impersonate, or spread false information.
  5. Attempt unauthorized access, reverse engineer, bypass technical limits, or overload the Service.
  6. Use the Free Plan for commercial purposes or remove watermarks/logos in violation of these Terms.
  7. Engage in any conduct that materially harms the Service, Company, or third parties.

10. Advertising, Legal Compliance, and Platform Policies

  1. You are solely responsible for ensuring that your use of Outputs (including advertising, listings, promotions, and distribution) complies with applicable laws and Platform rules.
  2. If your content is advertising/PR, you must clearly disclose it (e.g., "Ad," "Sponsored," "PR") in a manner required by applicable laws and Platform rules.
  3. Where required by law or Platform policy, you are responsible for disclosing that content is AI-generated or AI-altered.
  4. We may offer templates, warnings, or checks to assist compliance, but we do not provide legal advice and do not guarantee legality, approval, or Platform acceptance.
  5. Indemnity: You will defend, indemnify, and hold Company harmless from claims, damages, liabilities, penalties, and reasonable attorneys' fees arising out of your breach of this Section or your use of Outputs.

11. Moderation and Enforcement

  1. We may suspend generation, remove, unpublish, disable access to, or delete User Content, and/or suspend accounts if we reasonably believe there is a violation of these Terms or significant risk.
  2. We may implement escalating enforcement measures at our discretion.

12. Third-Party Services

  1. The Service may integrate with third-party services (auth, payments, CDN, storage, Platforms, etc.).
  2. Your use of third-party services is subject to their terms. We are not responsible for third-party service changes, outages, or decisions.
  3. Platform review, delisting, or account actions are outside our control.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available." We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, quality of Outputs, commercial effectiveness, or Platform approvals.

14. Limitation of Liability

  1. To the fullest extent permitted by law, Company is not liable for indirect, incidental, special, consequential, or lost-profit damages.
  2. For paid users, Company's total liability is limited to the total fees paid by you to Company in the previous 12 months (or another cap stated in the Service).
  3. Nothing limits liability for fraud, willful misconduct, or gross negligence where prohibited by law.

15. IP Complaints

We may take appropriate action upon receiving IP/privacy complaints, including unpublishing or removal, and may request cooperation and information from you.

16. Termination

  1. Paid plans renew per the billing cycle until canceled.
  2. We may suspend or terminate your access for violations or risk.
  3. Sections that should survive termination (e.g., Ownership, License, Compliance/Indemnity, Disclaimers, Liability limits) survive.

17. Changes to Terms

We may update these Terms. We will provide notice for material changes in a reasonable manner. Continued use after changes constitutes acceptance.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance.

20. Language Prevails

If these Terms are translated into a language other than Japanese, such translation is provided for convenience only. In the event of any inconsistency, conflict, or discrepancy in interpretation between the Japanese version and any translated version, the Japanese version shall prevail.
